Terms of Service

1. The service & licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to use Hourdeck for your internal business purposes, subject to these Terms and your subscription. All rights not expressly granted are reserved.

2. Accounts & authentication

Access uses your Microsoft (Microsoft Entra ID) identity. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, and for ensuring your users comply with these Terms.

3. Subscriptions, pricing & AI credits

Paid plans and any usage-based (metered) charges — including AI usage — are sold and billed through the Microsoft commercial marketplace under Microsoft's terms. Free trials convert to paid unless cancelled before the trial ends. Fees are non-refundable except where required by law.

Pricing flexibility. We may introduce, set, change, restructure or discontinue plans, prices, free allowances, features, and the definition, pricing, calculation and billing of AI "credits" and metered usage, at our sole discretion and at any time. Changes apply on a going-forward basis; where notice is required it will be given via the marketplace or the app, and your continued use after a change takes effect constitutes acceptance. A price change will not alter the fees for a paid term already in progress unless stated.

AI usage & credits are variable. AI features consume usage that is metered and billed. The number of credits and the cost of any given action are an ESTIMATE ONLY and vary based on factors including the content you submit, the AI model used, and third-party provider pricing, and may change at any time without notice. We do NOT guarantee any particular consumption rate, credit cost, free allowance, or total charge, and any figures shown in the product (for example "≈ N credits") are indicative only. Consumed usage and credits are non-refundable. You are responsible for monitoring your usage; to cap your exposure you may disable AI features or configure your own AI key.

4. Acceptable use

You agree not to: (a) use the service unlawfully or in breach of third-party rights; (b) reverse engineer, decompile or attempt to derive source code except as permitted by law; (c) resell, sublicense or provide the service to third parties except your own users; (d) probe, scrape, overload or interfere with the service or its security; or (e) use the service to build a competing product.

5. Your data & content

As between the parties, you own your data (time entries, comments, and the Azure DevOps metadata you sync). You grant us a licence to host, process and transmit your data solely to provide, secure, support and improve the service and as described in our Privacy Policy. You are responsible for the accuracy and lawfulness of your data and for having the rights to submit it (including any data imported from third-party tools).

6. Third-party services

The service integrates with third parties including Microsoft Azure DevOps, Anthropic (for AI features) and, at your option, a third-party time-tracking tool you choose to connect for data import. Your use of those services is governed by their own terms. We are not responsible for third-party services, their availability, or their acts or omissions. You are responsible for your accounts with, and your rights to use and export data from, those services.

7. Third-party trademarks & comparisons

Hourdeck is an independent product and is not affiliated with, endorsed by, or sponsored by any other time-tracking vendor. All product names and trademarks are the property of their respective owners. Any comparisons refer to generic tool categories and are provided for general guidance only.

Any references to third-party products are nominative and used only to describe interoperability. They do not imply any affiliation or endorsement.

8. Intellectual property

FiveForty and its licensors own all rights in the Hourdeck software, brand and documentation. These Terms do not transfer any of our intellectual property to you.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. AI-generated content may be inaccurate and must be reviewed before use. Data imports are provided on a best-efforts basis and completeness is not guaranteed.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Nothing limits liability that cannot be limited by law.

11. Indemnification

You will defend, indemnify and hold us harmless from claims, damages and costs arising from your data, your use of the service in breach of these Terms, or your use of third-party services (including your export of data from other time-tracking tools you connect).

12. Term & termination

Either party may terminate as permitted by the applicable order or marketplace terms. We may suspend or terminate access for material breach or to protect the service. On termination your licence ends; you may export your data for a reasonable period, after which we may delete it in the ordinary course.

13. Changes

We may update the service and these Terms. Material changes will be notified via the app or marketplace. Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of France, without regard to conflict-of-laws rules. The competent courts of France will have exclusive jurisdiction, subject to any mandatory consumer protections.
